1. Acceptance of Terms

By accessing or using Clinnacle's services, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.

2. Description of Service

Clinnacle provides a reputation management platform designed for healthcare practices. Our services include review collection tools, AI-powered review generation assistance, review response suggestions, Terms of Service violation analysis, analytics, and competitor monitoring features.

3. Account Registration

To use our services, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

4. Subscription and Billing

Clinnacle offers subscription-based services. By subscribing, you agree to:

  • Pay the applicable fees for your chosen plan
  • Provide valid payment information
  • Accept automatic renewal unless cancelled
  • A 7-day free trial period for new Starter plan accounts (credit card required)
  • Pro plan subscriptions do not include a free trial period

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial billing periods.

5. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Generate fake or misleading reviews
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of the service
  • Collect patient health information through our platform

6. Review Generation Guidelines

Our AI-powered review generation feature is designed to help patients articulate their genuine experiences. By using this feature, you agree that:

  • Generated reviews must reflect actual patient experiences
  • Patients must approve and potentially edit generated content before posting
  • Reviews must comply with platform guidelines (Google, Yelp, etc.)
  • You will not use the service to create fabricated reviews

7. AI-Generated Content Disclaimer

IMPORTANT: Clinnacle utilizes artificial intelligence technology provided by third-party services (including but not limited to Anthropic's Claude) to generate content including, but not limited to:

  • Review drafts and suggestions
  • Response suggestions for reviews
  • Terms of Service violation analysis and dispute recommendations
  • Competitor analysis and insights
  • Any other AI-assisted features within the platform

You acknowledge and agree that:

  • All AI-generated content is provided for informational and assistive purposes only
  • There is absolutely NO guarantee, whether express, implied, or otherwise, of accuracy, completeness, reliability, or effectiveness of any AI-generated content
  • AI-generated content may contain errors, inaccuracies, or inappropriate suggestions
  • You are solely responsible for reviewing, editing, and approving all AI-generated content before use
  • You are solely responsible for all decisions regarding responding to reviews, disputing reviews, or taking any action based on AI-generated suggestions
  • You will not rely solely on AI-generated content for any business, legal, or medical decisions
  • The AI technology is provided by third-party services over which Clinnacle has no direct control

8. Intellectual Property

All content, features, and functionality of Clinnacle are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • CLINNACLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
  • THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES
  • CLINNACLE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM OR RELATED TO AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO INACCURATE SUGGESTIONS, FAILED REVIEW DISPUTES, OR ANY ACTIONS TAKEN BASED ON AI RECOMMENDATIONS
  • OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CLINNACLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

  • The service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the service will be accurate or reliable
  • Any AI-generated content will be accurate, appropriate, or effective
  • Any errors in the service will be corrected

11. Hold Harmless

You agree to hold harmless Clinnacle, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the service
  • Any content you submit, post, or transmit through the service
  • Your reliance on any AI-generated content
  • Any decisions you make based on AI-generated suggestions or analysis
  • Any review responses, disputes, or other actions taken based on our service
  • Any violation of these Terms of Use
  • Any violation of applicable laws or regulations

12. Indemnification

You agree to indemnify, defend, and hold harmless Clinnacle, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, demands, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorneys' fees) arising from:

  • Your access to or use of the service
  • Your violation of these Terms of Use
  • Your violation of any third-party rights, including intellectual property rights
  • Any claim that your use of the service caused damage to a third party
  • Any claims related to reviews, responses, or content generated or posted through the service
  • Any claims arising from your use of or reliance on AI-generated content
  • Any legal action taken against you by review platforms (Google, Yelp, etc.) related to your use of the service

This indemnification obligation will survive the termination of these Terms of Use and your use of the service.

13. User Responsibility for Decisions

You expressly acknowledge and agree that:

  • You are solely responsible for all decisions regarding your reviews, responses, and reputation management
  • You will independently evaluate and verify any AI-generated suggestions before taking action
  • You will not blindly rely on AI analysis for Terms of Service violation determinations or dispute strategies
  • You are responsible for ensuring compliance with all applicable review platform terms and conditions
  • You are responsible for the accuracy and truthfulness of all content posted through the service
  • Clinnacle does not provide legal advice, and any dispute-related suggestions should not be construed as legal counsel

14. Third-Party Services

Our service integrates with and relies upon third-party services including, but not limited to:

  • Anthropic (Claude AI) for content generation
  • Google Places API for business information
  • Review platforms (Google, Yelp, etc.)
  • Payment processors (Stripe)

We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of these third-party services is subject to their respective terms and conditions.

15. Termination

We may terminate or suspend your account at any time for violations of these terms. Upon termination, your right to use the service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the platform. Continued use after changes constitutes acceptance of the new terms. It is your responsibility to review these Terms periodically.

17. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clinnacle regarding the use of the service and supersede all prior agreements and understandings.
